Is it humanly possible to reliably construct boards that have the skills that can sidestep many of the massive problems we have seen in corporate governance over the past few years? I have just been reading an article on the subject (Ingley, C. B. and van der Walt, N. B., <STRONG>Corporate Governance</STRONG>, vol. 3, no. 4, 2003, pp. 5-17). <o:p></o:p></FONT></FONT></SPAN></P> <P class=MsoNormal style="MARGIN: 0in 0in 0pt"><SPAN style="FONT-SIZE: 10pt; mso-bidi-font-size: 12.0pt"><o:p><FONT face="Times New Roman" color=#000000>&nbsp;</FONT></o:p></SPAN></P> <P class=MsoNormal style="MARGIN: 0in 0in 0pt"><SPAN style="FONT-SIZE: 10pt; mso-bidi-font-size: 12.0pt"><FONT color=#000000><FONT face="Times New Roman">The article reflects the emerging consensus that we need to examine group dynamics if we really want to understand why boards of companies such as Enron et al went so terribly wrong. It points to the need for diversity in creating a board that can avoid major problems. Are the Enrons just the tip of the iceberg? Do pathologies that exist in such boards also exist in many other boards that have not yet reached the same stage of dysfunction? Are many, if not most boards, also dysfunctional in the same way, albeit less so? If so, what can we do about it?<o:p></o:p></FONT></FONT></SPAN></P> <P class=MsoNormal style="MARGIN: 0in 0in 0pt"><SPAN style="FONT-SIZE: 10pt; mso-bidi-font-size: 12.0pt"><o:p><FONT face="Times New Roman" color=#000000>&nbsp;</FONT></o:p></SPAN></P> <P class=MsoNormal style="MARGIN: 0in 0in 0pt"><SPAN style="FONT-SIZE: 10pt; mso-bidi-font-size: 12.0pt"><FONT color=#000000><FONT face="Times New Roman">Most CEOs have significant gaps in skills and capabilities. Many of the dysfunctions of boards arise not because of these gaps, but because the board is not designed to assist the CEO in compensating for them. All CEOs have blind spots. One of the key functions of a board should be to provide compensating skills and perspectives which the CEO lacks so that the CEO does not fall into traps caused by his own blind spots. If the board does not provide this essential function, it is likely to start down the slippery slope of board dysfunction where similar perspectives mutually reinforce and altetrnative views get short or no thrift.<o:p></o:p></FONT></FONT></SPAN></P> <P class=MsoNormal style="MARGIN: 0in 0in 0pt"><SPAN style="FONT-SIZE: 10pt; mso-bidi-font-size: 12.0pt"><o:p><FONT face="Times New Roman" color=#000000>&nbsp;</FONT></o:p></SPAN></P> <P class=MsoNormal style="MARGIN: 0in 0in 0pt"><SPAN style="FONT-SIZE: 10pt; mso-bidi-font-size: 12.0pt"><FONT color=#000000><FONT face="Times New Roman">It is our view that a key way for the required diversity to be designed into the board is to ensure that board members and the CEO have balancing leadership capabilities. One of the key tasks of boards should be to ensure that the board itself is so designed to incorporate leadership capabilities that balance out those of the CEO. In this way it can provide the support that so many CEOs desperately lack and that can only be provided at the board level.<o:p></o:p></FONT></FONT></SPAN></P> <P class=MsoNormal style="MARGIN: 0in 0in 0pt"><SPAN style="FONT-SIZE: 10pt; mso-bidi-font-size: 12.0pt"><o:p><FONT face="Times New Roman" color=#000000>&nbsp;</FONT></o:p></SPAN></P> <P class=MsoNormal style="MARGIN: 0in 0in 0pt"><SPAN style="FONT-SIZE: 10pt; mso-bidi-font-size: 12.0pt"><FONT color=#000000><FONT face="Times New Roman">If the board does not take such an approach, no-one else can or will. The reason for so many dysfunctional boards is that they are not designed from the ground up to provide a comprehensive set of capabilities and perspectives that will compensate&nbsp;for those lacked by the CEO. One of the key tasks of corporate governance is to ensure that this balancing of human resource assets takes place. Popularized by Ken Blanchard, the servant leader is the opposite of the self-serving leader. This is the leader who exists to empower his people and to serve selflessly for others.<SPAN style="mso-spacerun: yes">&nbsp; </SPAN>This is a powerful, contemporary theme. It focuses on ethics, accountability and altruism, qualities that have lately been in short supply in many companies.. <o:p></o:p></FONT></SPAN></P> <P class=MsoNormal style="MARGIN: 0in 0in 0pt"><SPAN style="FONT-SIZE: 10pt; mso-bidi-font-size: 12.0pt"><o:p><FONT face="Times New Roman">&nbsp;</FONT></o:p></SPAN></P> <P class=MsoNormal style="MARGIN: 0in 0in 0pt"><SPAN style="FONT-SIZE: 10pt; mso-bidi-font-size: 12.0pt"><FONT face="Times New Roman">The servant leader is a powerful enough theme that new instruments are being devised to test the effectiveness of CEOs as servant leaders (Dennis, R. and Winston, B. E.,  A Factor Analysis of Page and Wong s Servant Leadership Instrument , <STRONG>Leadership and Organization Development Journal</STRONG>, 24/8, 2003, pp 455-459). It s a good theme and one to be encouraged. But can one be too much of a servant leader? Is there a downside to altruism and serving?<o:p></o:p></FONT></SPAN></P> <P class=MsoNormal style="MARGIN: 0in 0in 0pt"><SPAN style="FONT-SIZE: 10pt; mso-bidi-font-size: 12.0pt"><o:p><FONT face="Times New Roman">&nbsp;</FONT></o:p></SPAN></P> <P class=MsoNormal style="MARGIN: 0in 0in 0pt"><SPAN style="FONT-SIZE: 10pt; mso-bidi-font-size: 12.0pt"><FONT face="Times New Roman">Our own leadership assessment instruments also include an altruism variable. In our research, however, we have also detected a theme. This is that while serving can be good, too much of it can be bad. In our own database of CEOs we see many who are so altruistic that it has adversely impacted their shareholder returns. We need only cite altruistic leaders such as Edwin Land of Polaroid, Bill Norris of Control Data, Ben Cohen of Ben and Jerry s or Steve Whittle of the Edison Project to see some of the dangers that can occur with too altruistic a leader.<o:p></o:p></FONT></SPAN></P> <P class=MsoNormal style="MARGIN: 0in 0in 0pt"><SPAN style="FONT-SIZE: 10pt; mso-bidi-font-size: 12.0pt"><o:p><FONT face="Times New Roman">&nbsp;</FONT></o:p></SPAN></P> <P class=MsoNormal style="MARGIN: 0in 0in 0pt"><SPAN style="FONT-SIZE: 10pt; mso-bidi-font-size: 12.0pt"><FONT face="Times New Roman">Jim Collins book,  Good to Great is essentially focusing on altruistic leaders. Even amongst these we can identify dangers. Colman Mockler of Gillette is one of Collins respected leaders. But Mockler s own paternalistic style of management, which carried with it great loyalty to his employees, prevented him from trimming employee costs during his tenure. His high costs later weakened Gillette to the extent that he became takeover bait for the LBO merchants to whom he paid greenmail, greatly weakening Gillette for years to come.<o:p></o:p></FONT></SPAN></P> <P class=MsoNormal style="MARGIN: 0in 0in 0pt"><SPAN style="FONT-SIZE: 10pt; mso-bidi-font-size: 12.0pt"><o:p><FONT face="Times New Roman">&nbsp;</FONT></o:p></SPAN></P> <P class=MsoNormal style="MARGIN: 0in 0in 0pt"><SPAN style="FONT-SIZE: 10pt; mso-bidi-font-size: 12.0pt"><FONT face="Times New Roman">The servant leader is a badly overdue concept. We need many more such leaders. But we need to recognize that too much of a good thing can also be a bad thing too, as our own research clearly shows.
